Rubicon Bridge – Terms of Service

1. Introduction

Rubicon Bridge is a non-custodial web application that connects users to a decentralized protocol (the “Alpha Protocol”), which facilitates the staking of Bittensor ($TAO) tokens and the issuance of xALPHA tokens on Base, an Ethereum Layer 2 network operated by Coinbase.

Rubicon Bridge provides only an interface to interact with the Alpha Protocol and related smart contracts. We do not control or operate the Alpha Protocol, any validators, or any blockchain network.

Rubicon Bridge is not a bank, broker, custodian, or financial advisor. We do not offer investment advice, brokerage, or fiduciary services of any kind. Use of Rubicon Bridge is entirely at your own risk.

2. Using Our Services

2.1. The App

The Rubicon Bridge app (the “App”) allows users to connect self-custodial wallets, stake $TAO tokens, and receive xALPHA tokens on Base. The Alpha Protocol operates autonomously on the Bittensor and Base blockchains. Transactions are executed by smart contracts, not by Rubicon Bridge.

2.2. Wallets

To use the Services, you must connect a third-party digital wallet (“Wallet”). Your Wallet is not hosted or managed by us. You are solely responsible for safeguarding your Wallet credentials (private keys, seed phrases, passwords).

Rubicon Bridge has no access to your private keys and cannot recover lost access to your Wallet. You remain in full control of your digital assets at all times.

2.3. No Financial Advice

All content and features provided via the Services are for informational and technical purposes only. Nothing on Rubicon Bridge constitutes financial, legal, or tax advice. You are solely responsible for assessing risks and consulting qualified professionals before using the Services.

2.4. Third-Party Technologies

Rubicon Bridge relies on external technologies and networks—including validator nodes, bridges, and oracles—maintained by independent third parties (“Third-Party Technologies”). We do not control or guarantee their availability, security, or performance.

2.5. Yield and Rewards

Your engagement with the Alpha Protocol may result in rewards, staking yield, or other digital asset accruals (“Yield”), depending on on-chain protocol mechanics. Yield, if any, is determined by the Alpha Protocol and associated third-party smart contracts, not by Rubicon Bridge. We do not guarantee or promise any Yield or return.

2.6. Token Distributions

From time to time, General Tao Ventures may facilitate or distribute digital tokens (“Third-Party Tokens”) received from other protocols or partners. Any such distributions are at our discretion, not guaranteed, and provided “as is.” We make no representations about the value, functionality, or legality of any such tokens.

2.7. Updates

We may modify or update the Services or these Terms at any time, with or without notice. The “Last Updated” date above will reflect the latest revision. Continued use of the Services after changes are posted constitutes your acceptance of the new Terms.

3. Eligibility

By using the Services, you represent and warrant that you:

• Are of legal age to enter into a binding contract in your jurisdiction;
• Are not located in, or a resident, citizen, or entity organized in, any restricted jurisdiction (including, without limitation, the United States, North Korea, Iran, Cuba, Syria, or any country under comprehensive sanctions);
• Are not listed on any government sanctions or restricted parties list (e.g., OFAC, UK HMT, EU, or UN sanctions lists);
• Use the Services for lawful purposes only and in compliance with all applicable laws.

If any of the above conditions do not apply to you, you must not use the Services.

4. Termination and Suspension

We may suspend, restrict, or terminate your access to the Services at our sole discretion, including if:

• We are required to do so by law or court order;
• We suspect you of violating these Terms or applicable laws;
• We detect suspicious or abusive activity;
• Continued access poses a regulatory, security, or reputational risk.

We are not obligated to disclose the basis of any suspension or termination.

5. User Conduct and Prohibited Uses

You agree not to use the Services to:

• Engage in or promote illegal, fraudulent, or abusive behavior;
• Access or attempt to access other users' data without authorization;
• Transmit malware, spam, or exploit vulnerabilities;
• Circumvent any security or rate-limiting measures;
• Use automated scraping, bots, or data-mining without consent;
• Violate intellectual property rights of Rubicon Bridge or others.

We reserve the right to take legal or technical action against any violation.

6. Intellectual Property

All content, trademarks, and design elements on Rubicon Bridge (including the Rubicon Bridge name, logo, and related branding) are the property of General Tao Ventures Inc. or its licensors. You may access and use the Services for personal, non-commercial purposes only.

You may not reproduce, distribute, modify, or create derivative works based on our materials without prior written consent.

Third-party code libraries, open-source modules, or smart contracts used within Rubicon Bridge are governed by their respective licenses.

7. Blockchain and Smart Contract Risks

Using blockchain networks carries inherent risks. By using Rubicon Bridge, you acknowledge that:

• Smart contracts may contain bugs or vulnerabilities that result in loss of assets.
• Transactions on Bittensor or Base are irreversible and cannot be paused or reversed by Rubicon Bridge.
• Network congestion, governance changes, or validator downtime may impact performance.
• Market volatility may result in partial or total loss of value.
• Rubicon Bridge does not guarantee availability, uptime, or correct functionality of any protocol component.

You assume full responsibility for understanding and managing these risks.

8. Indemnification

You agree to indemnify and hold harmless General Tao Ventures Inc., its affiliates, officers, directors, employees, and agents from any claim, loss, or expense (including legal fees) arising out of your use of the Services, violation of these Terms, or breach of applicable law.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided “as is” and “as available”, without warranties of any kind.
• Rubicon Bridge makes no guarantees about the accuracy, reliability, or security of the Services.
• We are not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of data, assets, private keys, profits, or goodwill.
• In no event shall our total liability exceed USD $100.

Some jurisdictions do not allow such exclusions; in those cases, our liability is limited to the extent permitted by law.

10. Dispute Resolution and Arbitration

10.1. Informal Resolution

Before initiating formal proceedings, you agree to first contact us in writing at contact@generaltao.ventures with a detailed description of your dispute. We will attempt to resolve the matter informally within 30 days.

10.2. Arbitration

If unresolved, any dispute, claim, or controversy arising from these Terms or your use of the Services will be settled by confidential, binding arbitration in the British Virgin Islands under the rules of the BVI International Arbitration Centre (BVI IAC), in English, before a single arbitrator. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

10.3. Class Action Waiver

All disputes must be brought individually. You may not participate in any class or collective proceeding against Rubicon Bridge or its affiliates.

10.4. Governing Law

These Terms and any disputes arising under them are governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflicts of law principles.

11. Miscellaneous

• Severability: If any provision of these Terms is held unenforceable, the remainder remains in effect.
• Waiver: Our failure to enforce any right or provision shall not be deemed a waiver of such right.
• Assignment: You may not assign these Terms without our prior written consent.
